Business Formation

A solid legal foundation is important for any new business. At Greer Law Firm we have the skills and knowledge to advise you about the choices you have in establishing your new business.

We will help you choose the entity that best suits your business. One of the first decisions you need to make for a new business is determining what type of entity will best suit your ownership, capitalization and long-term objectives. Types of business entities include:

  • Sole proprietorship
  • General partnership (GP)
  • Limited partnership (LP)
  • Limited liability partnership (LLP)
  • Limited liability company (LLC)
  • Corporation (subchapter “S” or “C”)

Conducting Business

We advise public, private and non-profit organization clients, including boards of directors, independent committees and executive officers, on corporate governance compliance and best practices.

Examples of corporate governance matters on which we advise clients include:

  • Composition of and procedures for boards of directors and board committees
  • Director and executive compensation processes and disclosure
  • “Best practices” for boards, committees, individual directors and officers
  • Director and officer fiduciary duties and responsibilities regarding corporate governance, conflict and transactional matters
  • Internal investigations, including those overseen by board special committees
  • Director and officer limitation of liability, indemnification and insurance matters

Business Dispute Litigation

When business relationships become fractured, disputes that cannot be resolved through discussion or negotiation can often result in a lawsuit.  Business dispute litigation generally applies to any type of litigation or lawsuit related to business issues. The issues can include:

  • Breach-of-contract issues
  • Disputes about employer-employee agreements (such as an agreement not to compete)

Transfer of Business

Businesses are frequently sold or transferred. We often represent clients in the preparation of agreements and/or documents concerning the following:

  • Buy-Sell Agreements
  • Bill of Sale
  • Non-Compete Agreements
  • Agreements to Transfer Trade Name
  • Transfer of Goodwill
